Terms of Service

1. Acceptance of Terms

By accessing or using ChurnGuard AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ChurnGuard AI provides AI-powered churn prediction and customer retention analytics. The Service processes customer data you upload to generate risk assessments, lead scores, revenue impact analysis, and retention recommendations. We support SaaS, E-commerce, Subscription, Services, and Custom business models.

3. Privacy-First Architecture

Your uploaded data is encrypted before transmission and processed securely on our servers. No raw customer data is stored after processing is complete. Prediction results are stored in your encrypted browser session only and are cleared when you log out. We are GDPR-compliant by design. Only anonymized metadata is retained — no customer PII is ever persisted.

4. Subscription Plans and Billing

We offer the following plans:

  • Free Trial: 5,000 records, 30 runs over 14 days, all features unlocked, no credit card required
  • Pro: $99/month, 75,000 records, 1,000 runs/month
  • Pro Plus: $199/month, 250,000 records, 2,000 runs/month
  • Business: $399/month, 500,000 records, 3,000 runs/month
  • Business Plus: $799/month, 1,000,000 records, 10,000 runs/month

Paid subscriptions are billed monthly in advance through Braintree. You may upgrade or downgrade your plan at any time. Changes take effect immediately for upgrades and at the next billing cycle for downgrades.

5. Refund and Cancellation Policy

Cancellation: You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of your billing period.

Refunds: We offer a 14-day money-back guarantee for new customers. If you are not satisfied with the Service within the first 14 days of your initial subscription, contact us at support@churnguardai.com for a full refund. After 14 days, refunds are provided at our discretion and may be prorated for unused portions of your subscription period.

Service Credits: If the Service experiences downtime exceeding 4 hours in any calendar month, you may request a service credit equal to 10% of your monthly fee for that month. Service credits must be requested within 30 days of the downtime.

6. Acceptable Use

You agree not to misuse the Service, including but not limited to:

  • Uploading malicious files, viruses, or harmful code
  • Attempting to bypass plan limits or usage restrictions
  • Reverse-engineering the prediction algorithms or models
  • Using the Service for any unlawful purpose
  • Sharing account credentials with unauthorized users
  • Uploading data that you do not have the legal right to process

7. Service Level Agreement (SLA)

Uptime: We strive to maintain 99.5% uptime for the Service, excluding scheduled maintenance windows. Maintenance is typically performed during low-traffic periods and announced 24 hours in advance.

Support: Business and Business Plus plans receive priority email support with response times within 24 hours. Pro Plus plans receive email support with response times within 48 hours. Pro plans receive community support.

Data Processing: Prediction processing typically completes within 60 seconds for files up to your plan limit. Larger files may take longer depending on current system load.

8. Intellectual Property

The Service, including its algorithms, models, and user interface, is owned by ChurnGuard AI and protected by intellectual property laws. You retain ownership of your customer data and any insights generated from it. You may not copy, modify, distribute, or create derivative works of the Service.

9. Limitation of Liability

ChurnGuard AI predictions are probabilistic estimates and should not be the sole basis for business decisions. We are not liable for any losses arising from reliance on our predictions, including but not limited to lost revenue, customer relationships, or business opportunities.

To the fullest extent permitted by law, our total liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Data Processing Agreement

For all customers, we provide a Data Processing Agreement (DPA) that outlines our obligations as a data processor under GDPR and other applicable privacy laws. The DPA is available at www.churnguardai.com/dpa.

11. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in fraudulent activity. Upon termination, your right to use the Service ceases immediately. We will delete your account data upon request, in accordance with our privacy policy.

13. Governing Law

These Terms are governed by the laws of the jurisdiction where ChurnGuard AI is established, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration.
